This End User License Agreement ("Agreement") is between you and Ridge Sound ("we", "us") and governs your use of the Fold EQ software ("Software"). By installing or using the Software you agree to this Agreement. If you do not agree, do not install the Software; refund requests are handled by our merchant of record (Paddle) under their buyer terms.
Subject to this Agreement, we grant you a personal, non-exclusive, non-transferable license to install and use the Software on any number of computers that you personally own or control, for any lawful purpose, including commercial music production. Audio you create with the Software is entirely yours; we claim no rights in your output.
The Software is unlocked by a license file cryptographically issued to you and bearing your name or email address. You may back it up freely. You may not give, sell, sublicense, or otherwise share your license file with anyone else. A license is valid for the person or organization named in it.
You may not: (a) distribute, rent, lease, sell, or sublicense the Software; (b) share, publish, or resell your license file; (c) remove or circumvent the license verification, or distribute tools that do; (d) reverse engineer, decompile, or disassemble the Software except to the extent applicable law expressly permits despite this limitation; (e) use the Software to develop a directly competing product by copying its non-public implementation.
The Software is licensed, not sold. We retain all right, title, and interest in the Software, including all intellectual property rights. Third-party components are used under their respective licenses (see the manual's credits section, including Monocypher (BSD-2-Clause/CC0) and JUCE (used under a commercial or applicable JUCE license)).
Purchases are processed by Paddle, our merchant of record. Paddle's checkout terms apply to the purchase transaction itself, including refunds and applicable taxes.
We may provide updates at our discretion. Minor updates (v1.x) are free for licensed users. We are not obligated to provide support, maintenance, or future versions, but we genuinely try: support@ridgesound.com
License verification is performed entirely offline. The Software makes no network connections, collects no personal data, and sends no telemetry. The only personal data involved is the name/email embedded in your license file, which stays on your machine.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED. Some jurisdictions do not allow warranty exclusions; in those places the minimum lawful warranty applies.
Loud audio warning: the Software can produce loud and resonant sounds (including, notably, a knob labeled PAIN). Protect your ears and monitors.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR USE, ARISING FROM OR RELATED TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
This Agreement terminates automatically if you materially breach it. Upon termination you must stop using the Software. Sections 4, 8, 9, and 11 survive termination.
This Agreement is governed by the laws of California, United States, excluding its conflict-of-law rules. If any provision is held unenforceable, the remainder stays in effect. This Agreement is the entire agreement regarding the Software and supersedes prior communications about it.
